CoChat is an AI-powered platform that enables users to create personalized AI chatbots, commonly referred to as “digital twins.” Our service allows you to:

• Create and customize AI chatbots that represent you or your brand
• Train your AI using text content and URLs you provide
• Share public profile pages featuring your AI chatbot
• Interact with AI chatbots created by other users

We reserve the right to modify, suspend, or discontinue any aspect of our service at any time without prior notice.

2. User Accounts

To access certain features of CoChat, you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use our services.

3. User Responsibilities

When using CoChat, you agree not to:

• Upload or share content that infringes on intellectual property rights
• Create AI chatbots that impersonate real individuals without their consent
• Use the service to generate harmful, illegal, or misleading content
• Attempt to circumvent any security measures or access restrictions
• Use automated systems to access the service without our permission
• Violate any applicable laws or regulations
• Harass, abuse, or harm other users

You are solely responsible for the content you upload and the AI chatbots you create using our platform.

4. Content Ownership

Your Content: You retain ownership of all content you upload to CoChat, including text, URLs, and other training materials. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely for the purpose of providing our services to you.

Our Content: CoChat and its associated logos, designs, and features are owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary content without express written permission.

User-Generated AI Responses: Responses generated by AI chatbots you create are considered derivative works of your training content. You maintain rights to these outputs, subject to the limitations described in Section 5.

5. AI-Generated Content Disclaimer

AI chatbots created on CoChat generate responses using artificial intelligence technology. You acknowledge and agree that:

• AI-generated content may contain inaccuracies, errors, or outdated information
• Responses should not be relied upon as professional, legal, medical, or financial advice
• AI chatbots may produce unexpected or inappropriate responses despite safeguards
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• You are responsible for reviewing and verifying AI outputs before relying on them

Users interacting with AI chatbots should be aware that they are communicating with an artificial intelligence system, not a human being.

6. Privacy and Data

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. By using CoChat, you consent to our data practices as described in our Privacy Policy.

We may collect and process conversation data to improve our services. Publicly shared AI chatbot profiles and their interactions may be visible to other users.

7. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, including but not limited to:

• Violation of these Terms of Service
• Engaging in fraudulent or illegal activities
• Creating content that violates our community guidelines
• Extended periods of account inactivity
• Request from law enforcement or government agencies

You may terminate your account at any time by contacting us. Upon termination, your right to use the service will immediately cease, and we may delete your account data in accordance with our data retention policies.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COCHAT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or use of our servers
• Damages resulting from any content or conduct of third parties on the service
• Damages resulting from AI-generated content or chatbot interactions

Our total liability for any claims arising from your use of the service shall not exceed the amount you paid us, if any, in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless CoChat and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

• Your use of the service
• Your violation of these Terms
• Content you upload or AI chatbots you create
• Your violation of any third-party rights

10. Modifications to Terms

We may revise these Terms of Service at any time. Material changes will be notified through the service or via email. Your continued use of CoChat after changes become effective constitutes acceptance of the revised terms.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of CoChat shall be resolved exclusively in the state or federal courts located in California. You consent to the personal jurisdiction of such courts.
